The following represents articleoverdrive.com policies and terms of use in their entirety. Section headings are used only to organize this document, and do not constitute terms themselves. Regardless of how you intend to make use of the articleoverdrive.com website and services provided by articleoverdrive.com you are agreeing to this policy and terms of use in its entirety.

Membership

1. Articleoverdrive.com basic membership is free.

The cost associated with providing you with a basic membership for free is recovered from membership fees paid by articleoverdrive.com pro members who in return for their fees have the ability to run text and banner ads on the articleoverdrive.com site and articleoverdrive.com member sites.
   
   
3. You agree to provide accurate contact information when you become an articleoverdrive.com member, and to keep the contact information we have on file for you current at all times. Any and all announcements regarding the service will be sent to the email address we have on file. In the event we are required to notify you of anything related to these terms of use, or the articleoverdrive.com website, service, or otherwise then once we have sent email to the address we have on file you will be deemed to have been notified.
   
   
4. You agree to include content from the articleoverdrive.com website on your own site.
   
   
5. You agree to not publish any articles obtained from articleoverdrive.com on any sites that contain sexually explicit, racist, or other illegal or objectionable material.
   
   
6. You agree that ads will be displayed along with the articleoverdrive.com content you include on your own site.
   
   
7. You agree to not modify or create derivative works based upon any scripts or code that will be provided to you by articleoverdrive.com
   
   
8. By using articleoverdrive.com content on your site, you acknowledge and agree that:
   1. As content is published on articleoverdrive.com, it will go live on your site in real-time.
   2. Articleoverdrive.com is not responsible for sexually explicit, violent or otherwise objectionable content that may appear on your site. Articleoverdrive.com terms of service prohibit authors from posting such content. Any and all content that is reported as inappropriate or objectionable will be reviewed and removed by articleoverdrive.com at its sole discretion.
   3. You will promptly report any inappropriate or objectionable content by opening a support ticket at http://support.articleoverdrive.com and specifying the full URL for the content you are reporting, as well as what specifically you find objectionable or inappropriate.
   4. You will include all articleoverdrive.com provided content on your site without modification other than what would be considered "look and feel", i.e. background images, colors, fonts, etc. may be modified to match the rest of your website. You may not remove or modify ads, articles, or any other content including this "terms of use document".
   5. Articleoverdrive.com may at its sole discretion, at any time, make changes to articleoverdrive.com content as it sees fit. This would include but not be limited to page layout, and adding/modifying/removing content of any kind, in any way, etc.
      
      
9. Before installing, or having any other party including articleoverdrive.com representatives install articleoverdrive.com provided software or scripts on your website, you agree that you shall be responsible for making a backup copy of your website, and retaining that backup so that you may restore your website to its original condition in the event of any data loss.
   
   
10. In the event you wish to remove articleoverdrive.com provided content from your website, you shall be solely responsible for removing the provided scripts and any modifications that were made to any part of your site to facilitate including articleoverdrive.com content. If there are any costs, damages, or losses associated with removing such scripts and modifications, including but not limited to downtime for your website; fees paid to a programmer, web developer, or other professional; data loss, etc. then you shall be solely responsible.
    
    
11. Articleoverdrive.com, its owners, partners, agents, employees, and members are not liable for any damages or losses of any kind that you may incur either directly or indirectly as a result of including (or removing) articleoverdrive.com content on your website or making any use whatsoever of the articleoverdrive.com service, or software, or scripts.
    
    
12. Articleoverdrive.com reserves the right to terminate a membership without notice in the event these terms of use are violated, or becomes necessary in order to continue operating the articleoverdrive.com website and service. In the event of such a termination, any fees already paid to articleoverdrive.com shall be retained by articleoverdrive.com as liquidated damages.
    
    
13. Articleoverdrive.com reserves the right to discontinue the service at any time, for any reason, at its sole discretion. In the event articleoverdrive.com does permanently discontinue operating the service, the unused portion of fees paid by pro members shall be returned within a reasonable period of time.
    
    
14. Articleoverdrive.com does not have an uptime guarantee. Articleoverdrive will make its best efforts to keep the service up and running 24/7, but you acknowledge that service interruptions may occur from time to time in order to facilitate maintenance, upgrade the system and software, and for a number of other reasons.
    
    
15. No refunds or credits will be issued for any reason other than a permanent cessation of the articleoverdrive.com service.
    
    
16. Articleoverdrive.com reserves the right to change these terms of service at any time.
    
    
17. If you find the articleoverdrive.com service to be unsuitable for your use for any reason, your sole recourse shall be to discontinue use of the service.
    

Advertising

1. All members, both basic (free) and pro (paid) will be provided with a partner listing that will appear on the articleoverdrive.com member sites they refer, and on the sites referred by them, and so on. Your partner listing will be displayed for up to 5 levels deep within your own downline only. You may only list your own website in a partner listing.
   
   
2. You may advertise your website, or the articleoverdrive.com service directly, in any manner you choose in order to build your downline. You may be as creative as you like, subject to the following:
   1. You may not make any false claims regarding the articleoverdrive.com service
   2. You may not make reference to the articleoverdrive.com website or service in any unsolicited email or other form of spam.
   3. You may not engage in any illegal, potentially harmful, or otherwise objectionable or distasteful activity to promote the articleoverdrive.com website or service.
      
      
3. Pro members (paid) may submit text and banner ads to be run on the articleoverdrive.com website and member websites, throughout the entire articleoverdrive.com network.
   1. You may submit text and banner ads for your own website, or for any other website such as affiliate programs you may participate in.
   2. You must submit ads to an appropriate category.
   3. You must not submit ads for products or services that are sexually explicit, racist, illegal, or objectionable.
   4. There is no limit to the number of ads that may be submitted for rotation.
   5. A percentage of available ad space is reserved for the use of articleoverdrive.com.
   6. The remainder, which constitutes a sizeable majority of the ad space will be provided to pro members.
   7. When a page is loaded from the articleoverdrive.com site or a member site, ads belonging to pro members that are relevant to the category of the content being displayed will be selected randomly, and inserted into the page.
   8. The position in which any member ad appears on any given page is determined randomly within the space alloted to member ads on that page.
      
      
4. You may not directly sell ad space anywhere on the articleoverdrive.com network. For instance, a pro member may not submit ads through his or her articleoverdrive.com account in exchange for a fee. It is however, permissible to run affiliate ads that pay you for each click they receive.
   
   
5. Articleoverdrive.com does not guarantee that a partner listing will appear on any site that is part of the articleoverdrive.com network as will be displayed only on sites that are referred by you. You must therefore refer at least one other site to have your partner listing displayed. Referrals are tracked by a cookie that is set when a visitor to your site clicks on a link to the articleoverdrive.com site.
   
   
6. Articleoverdrive.com does not guarantee a specific number of ad impressions or clicks for any ad. Pro members pay a flat fee for storing their ads on the articleoverdrive.com system and having them available for display on the articleoverdrive.com network.
   1. The number of impessions you will receive depends on the number of page views in relevant categories, and the number of ads competing for impressions within that category. Ads within a specific category are selected at random as described above.
   2. The number of clicks you receive on your ad depends on the quality of your ad, the relevance of your ad to the category in which you submitted it, the position in which it is displayed on any given page (determined randomly as described above), the number of impressions your ad receives (see above), the quality of your ad, and the demand for what you are advertising.
      
      
7. You may not post ads that were not served by articleoverdrive.com on any pages that are part of the articleoverdrive.com article bank. You would expect to receive a quality ad impression on another member's site and it is therefore expected that you will reciprocate by providing quality ad impressions for other members on your site. If you are a basic (free) member, then those who are subsidizing your membership deserve to receive quality ad impressions on your website.
   
   
8. You may post ads from any source, and of any type on any other pages of your website that are not part of the articleoverdrive.com article bank with absolutely no restrictions.
   
   
9. Articleoverdrive.com reserves the right to change these terms of service at any time.
   
   
10. If you find the articleoverdrive.com service to be unsuitable for your use for any reason, your sole recourse shall be to discontinue use of the service.

Article and E-Zine Submission and Publication

1. To submit articles or e-zine listings, you must be an articleoverdrive.com member, both basic (free) and pro (paid) members may post articles and e-zine listings.
   
   
2. By posting an article on articleoverdrive.com, you are certifying that the posted material is your own original material and does not violate any copyrights.
   
   
3. By submitting your articles to articleoverdrive.com, you agree to:
   1. Allow us to publish the material on articleoverdrive.com and partner sites.
   2. Publish the material in RSS format for syndication by other websites.
   3. Publish the material in our newsletters (real time, daily, and weekly)
      
      
4. Authors retain their copyright on all material submitted on articleoverdrive.com, but grants articleoverdrive.com royalty-free, worldwide, non-exclusive rights to distribute and reproduce the submitted content in printed form or by any other medium and will forego payment or compensation for this material. articleoverdrive.com offers no monetary compensation for articles posted on the articleoverdrive.com site. You will not be paid when your articles are published. You will receive credit for your work, and your resource box will be left intact.
   
   
5. The inclusion of your articles in our database is at the sole discretion of articleoverdrive.com. articleoverdrive.com reserves the right to remove any articles at any time, for any reason.
   
   
6. Articleoverdrive.com reserves the right to proof and edit articles where necessary, including the article body, keywords, description, summary, and title. articleoverdrive.com reserves the right to choose, change, or edit the category for your submission.
   
   
7. Any sexually explicit, violent or otherwise objectionable submissions may result in termination of your account.
   
   
8. No advertising is permitted in the body of the article, including affiliate links. Promotional links are permitted in the resource box only.
   
   
9. Articleoverdrive.com reserves the right to translate your article and resource box into various languages.
   
   
10. Articleoverdrive.com reserves the right to include advertising on pages with your articles.
    
    
11. Articleoverdrive.com reserves the right to change these Terms of Service at any time.
    
    
12. If you find the articleoverdrive.com service to be unsuitable for your use for any reason, your sole recourse shall be to discontinue use of the service.

Publisher (non-members) Terms of Service

1. You agree to not edit, change, or reword any part of an author's article, without prior written permission of the author.
   
   
2. You agree to include the article source credit below each reprinted article with the following link active and click-able: Article Source: http://www.articleoverdrive.com
   
   
3. You agree that the Author Resource Box must accompany the article, with no changes to links, and the hyperlinks must remain active/click-able.
   
   
4. You agree to never use articles obtained from articleoverdrive.com in any unsolicited email or SPAM.
   
   
5. You agree to not publish any articles obtained from articleoverdrive.com on any sites that contain sexually explicit, racist, or other illegal or objectionable material.
   
   
6. You agree to not sell any articles obtained from articleoverdrive.com - either individually or in a compilation - without the express written permission of the author.
   
   
7. Articleoverdrive.com reserves the right to change these terms of service at any time.

Privacy

Articleoverdrive.com at its sole discretion may share contact information with representatives of a partner site through which a submission of contact information was initially made, or when contact information is collected as the result of a referral of a partner site. An example of when contact information might be shared in this way would be to assist an e-zine publisher with restoring a list of subscribers who signed up to receive their e-zine through the articleoverdrive.com system or an articleoverdrive.com component of their website.
   
   
3. Articleoverdrive.com will not share or disclose this contact information with any other third party for any reason unless required to do so by law.
